順風光電 4.92億美元收購無錫尚德

順風光電3日發表聲明表示，將以人民幣30億元（4.92億美元），收購尚德電力的核心資產無錫尚德。

順風光電表示，已支付人民幣5億元的保證金，以收購無錫尚德，並將在併購交易經順風股東批准後的一個月內，再付人民幣25億元，且由當地法院監督無錫尚德的重整過程。

順風光電說，將在併購完成後的三個月內，額外支付2,500萬美元給當地政府掌控的投資公司無錫國聯發展集團。道瓊社引述知情人士報導，無錫國聯已協助監督尚德的重整過程，上周也承諾投資尚德1.5億美元。

順風光電表示，將吸收無錫尚德自3月20日到10月31日間、每月人民幣2,000萬元的損失，未來兩年內也將提供資金升級無錫尚德的設施。

尚德長期為全球太陽能面板產能過剩和價格下跌所苦，3月時5.41億美元的美國可轉換債違約，引發其中國債券的交叉違約，使無錫尚德在中國實施破產重整。
